This Membership Agreement ("Agreement") is entered into by and between Smart Choice Warranty LLC, a [state] limited liability company ("Smart Choice Warranty" or "Company"), and the undersigned member ("Member").

1. MEMBERSHIP

1.1 Acceptance. By signing this Agreement, Member agrees to be bound by its terms and conditions. Smart Choice Warranty reserves the right to accept or reject any membership application at its sole discretion.

1.2 Membership Term. The term of this Agreement shall commence on the effective date and continue monthly, automatically renewing monthly unless terminated by either party with written notice at least 14 days prior to the expiration of the then- current term.

1.3 Membership Benefits. Smart Choice Warranty agrees to provide Member with the benefits and services described in the Smart Choice Warranty Membership Package, subject to the terms and conditions herein.

2. MEMBERSHIP FEES AND PAYMENT

2.1 Membership Fee. Member agrees to pay the monthly membership fee as specified in the Membership Package, payable on the effective date and monthly thereafter.

2.2 Payment Method. Member agrees to provide Smart Choice Warranty with a valid payment method and authorizes automatic renewal charges for subsequent membership terms.

2.3 Late Payment. Failure to pay the membership fee within 14 days of the due date may result in the suspension or termination of membership.

3. CANCELLATION AND TERMINATION

3.1 Cancellation by Member. Member may cancel this Agreement by providing written notice to Smart Choice Warranty at least 14 days prior to the expiration of the then-current term.

3.2 Termination by Smart Choice Warranty. Smart Choice Warranty may terminate this Agreement and the membership benefits at any time for a material breach of the terms herein by Member, upon written notice.

4. CONFIDENTIALITY

Both parties agree to keep confidential any non-public information obtained from the other party during the term of this Agreement.

5. LIMITATION OF LIABILITY

Smart Choice Warranty's liability to Member for any claim arising out of or related to this Agreement shall be limited to the amount paid by Member for the membership fees.

6. MISCELLANEOUS

6.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of [state].

6.2 Entire Agreement.

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
